Services described on this site
Descriptions of ESG finance disclosure reviews and related engagements are informational. Binding scope, fees, and deliverables appear only in a signed engagement letter.
Intellectual property
Site content, including text and graphics we create, remains the property of Smartcloudapicom unless an engagement letter assigns specific deliverables to you. Client working papers and published packs remain the client’s property. You may not copy site materials for commercial reuse without written consent.
Client responsibilities
You must provide accurate drafts, disclose known restatements, and ensure you have rights to share documents with us. You remain responsible for final disclosures and for any filing with the Exchange, lenders, or regulators.
No assurance opinion
Unless an engagement letter expressly states otherwise, our work is a professional disclosure review and does not constitute an audit, assurance opinion, or legal advice.
Liability
To the fullest extent permitted by Hong Kong law, Smartcloudapicom is not liable for indirect or consequential loss arising from use of this website. For paid engagements, liability is limited to the fees paid for the specific engagement giving rise to the claim, except where liability cannot be limited by law (including death or personal injury caused by negligence, or fraud).

Governing law
These terms are governed by the laws of Hong Kong Special Administrative Region. Courts of Hong Kong have exclusive jurisdiction over disputes arising from these terms or the website, without prejudice to any dispute-resolution clause in an engagement letter.
